The following are the terms and conditions of this Agreement (”Agreement”) governing digital and print advertising between Provo Weddings Magazine (“Publisher”) and the business or individual purchasing advertising (”Advertiser”).

Payment Terms: Full payment is required prior to payment deadline listed in this Agreement,. If Advertiser has an unpaid balance, the balance is due at the time of this payment. If Advertiser reneges on timely payment, publisher reserves the right to resort to legal means to collect payment. Advertiser understands that Publisher may also sue for all costs of collection, including reasonable attorney’s fees, court costs, and travel costs if court appearance is required.

Deadlines: It is the Advertiser’s sole responsibility to provide Publisher with ads and payment on or before the deadlines above. Publisher bears no legal or financial liability or responsibility for ad placement if any deadline is missed by Advertiser.

Errors/Omissions: The Publisher is not responsible for any errors or omissions in any advertising materials either provided by the Advertiser or produced by Publisher for the Advertiser. If Advertiser uses Publisher’s creative services for its ad creation, then it is the responsibility of the Advertiser to review the ad and confirm that all information is correct.

Effectiveness of Ad: Advertiser is solely responsible for the ad’s efficacy. Publisher’s duty is to publish and distribute magazines; such publication and distribution completely fulfills the Publisher’s duty under this contract.

Copyright: Advertiser warrants by submission of all materials that he/she/they/it are legal owners of Copyright in all photographs, artwork, and textural material submitted for ad design services and publication with Publisher

Indemnity: Advertiser agrees to indemnify and hold harmless Publisher and all parties connected with ad sales and production of the publication, from and against all liability or loss (including liability for attorney’s fees and costs) and against all claims or actions, based on or arising out of Advertisers ads displayed on www.provoweddings, or in the print or digital publications.

Miscellaneous: This contract contains the complete and only agreement between the Advertiser and Publisher. The Publisher may reject or cancel any advertising for any reason at any time. The Publisher is not prohibited from publishing advertisements for any other competing business, service, or product. Advertisement placement is at the sole discretion of the Publisher except where a request for a specified preferred position is agreed to and acknowledged by the Publisher. No conditions other than those set forth here shall be binding on the Publisher unless specifically agreed to in writing by the Publisher. Publisher reserves the right to modify these terms and conditions.

Severability: If any provision of this Agreement is held illegal or unenforceable in a judicial proceeding, such provision shall be severed and shall be inoperative, and the remainder of this Agreement shall remain operative and binding on the Parties.
